Engine/Transmission (1994 - 1998) Rear End Swap

My buddy and I are working on his 97 2500. We are interested in swapping out his stock rear end (3:54) and installing a 2003 (3:73) with disc breaks. Is this an easy swap and if not what can we expect?

Is your 1997 rear a posi-traction and what is the need for the change.

No it is not a posi-trac and we are looking for a taller set of gears to assist when towing. He recently purchased a 2003 3:73 posi-trac and is very interested in installing it into this truck.
