This condition sounds very similar to my truck when I bought it last year. It's a '92 W350 Club Cab dually with auto, and it had 138k miles. He was asking $10k, and I got it for $8k. I had to travel from Wisconsin to North Dakota to get it, but I just couldn't find a 1st Gen around here that wasn't a rust bucket. This truck is rust free from top to bottom with newer tires.
IMHO, $10,500 is a lot of money, but as these 1st Gen trucks become more scarce due to accidents, rust, and just generally wearing out, their asking prices will continue to climb. In 2008, after 5 more years of inflation, $10k for that truck will be a bargain (with new ones probably selling for $60k).
